Terms of Service

These Terms of Service ("Terms") are a binding agreement between Jincove LLC, a Wyoming limited liability company ("Jincove," "we," "us," or "our"), and the business or organization that subscribes to or uses our products (the "Customer," "you," or "your"). They govern your access to and use of the Jincove website at jincove.com and our products and services, including ReelWand, FeedForge, and AgentGEO (collectively, the "Services"). Please read these Terms carefully. By creating an account, subscribing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance and eligibility

By accessing or using the Services, you represent and warrant that:

• You are at least 18 years old and have the legal capacity to enter into these Terms. The Services are intended for businesses and professionals, are not directed to children, and are not intended for anyone under 16. We do not knowingly provide the Services to anyone under 16.
• You are using the Services for business or professional purposes, not as a consumer.
• If you are entering into these Terms on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms, and "you" and "Customer" refer to that entity.

If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.

2. Description of the Services

Jincove provides the following AI products on a recurring subscription basis:

• ReelWand — an AI visual studio that turns a brief into on-brand images and video using specialist AI agents.
• FeedForge — an AI-UGC engine that generates short-form content (reactions, slideshows, and avatar/talking-head spots) and schedules and publishes it across the Customer's connected social accounts.
• AgentGEO — an AI answer-engine visibility tool (available via MCP and REST API) that queries answer engines including ChatGPT, Perplexity, Gemini, Google AI Overview, Google AI Mode, and Copilot, and returns raw answers, citations, sources, and provider metadata.

The Services are purely digital software and services. No physical goods are shipped.

2.1 Early access

The Services are currently offered in early access. This means features, functionality, availability, interfaces, models, and providers may change, be added, or be removed at any time, and the Services may contain bugs, errors, or limitations. We may modify or discontinue any feature or product, in whole or in part, at any time. Early-access Services are provided without any commitment to a particular feature set or level of availability.

3. Accounts and security

To use most of the Services, you must register for an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials, API keys, and access tokens;
• All activity that occurs under your account, whether or not authorized by you;
• Ensuring that anyone who uses the Services through your account complies with these Terms; and
• Promptly notifying us at gan@jincove.com of any unauthorized use of your account or any other security breach.

We are not liable for any loss or damage arising from your failure to safeguard your credentials. We may refuse, suspend, or cancel accounts at our discretion where we reasonably believe these Terms have been violated.

4. Acceptable use

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws. You must not, and must not permit anyone using your account to:

• Generate, upload, submit, distribute, or publish content that is illegal, or that infringes or misappropriates any third party's intellectual property, privacy, publicity, or other rights;
• Create deceptive, fraudulent, or misleading content, including content that impersonates any person, brand, or organization without authorization, or that misrepresents the source or origin of content;
• Generate content that is defamatory, harassing, hateful, sexually exploitative, or that depicts a real individual without appropriate rights or consent, or generate any content that a connected platform or an underlying AI provider prohibits;
• Use FeedForge to publish to connected social accounts in violation of those platforms' terms of service, community guidelines, automation policies, or rate limits, or without proper authorization for the accounts you connect;
• Use AgentGEO in a manner that violates the terms of service, acceptable-use policies, or rate limits of the third-party AI engines it queries (including ChatGPT, Perplexity, Gemini, Google AI Overview, Google AI Mode, and Copilot), or that circumvents technical or contractual access controls of those engines;
• Scrape, harvest, or systematically extract data from the Services other than through interfaces and rate limits we provide; overload, disrupt, or attempt to gain unauthorized access to the Services or their underlying systems; or introduce malware or other harmful code;
• Reverse engineer, decompile, or attempt to derive the source code, models, or underlying technology of the Services, except to the extent this restriction is prohibited by applicable law;
• Resell, sublicense, or make the Services available to third parties except as expressly permitted; or use the Services to build or train a competing product or service; or
• Use the Services in any way that could damage, disable, or impair the Services or interfere with any other party's use of them.

We may investigate suspected violations and cooperate with law enforcement where appropriate. You are responsible for the content you submit and generate and for ensuring you have all rights necessary to do so.

5. Customer content and license

"Customer Content" means the briefs, prompts, text, images, media, brand assets, account connections, and other materials you submit to or through the Services, together with the settings and instructions you provide.

As between you and Jincove, you retain all rights in and to your Customer Content. We do not claim ownership of it. You grant Jincove a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and adapt your Customer Content solely to operate and provide the Services to you, including transmitting it to the third-party AI providers and connected platforms necessary to fulfill your requests, to maintain and secure the Services, and to comply with law.

You represent and warrant that you own or have all rights, licenses, and permissions necessary to submit your Customer Content and to grant the license above, and that your Customer Content and its use with the Services do not violate these Terms or any applicable law or third-party right.

6. AI-generated output

"Output" means the images, video, short-form content, answers, citations, source data, provider metadata, and other results the Services generate in response to your inputs.

6.1 Ownership of Output

As between you and Jincove, and to the extent permitted by applicable law and by the terms of the underlying third-party AI providers, we assign to you all right, title, and interest that we may have in the Output generated for you, so that you may use it for your business purposes. Because of the nature of AI systems, Output may not be eligible for intellectual property protection, may not be unique to you, and similar or identical Output may be generated for other customers. We make no representation that Output is protectable or exclusive.

6.2 No reliance; human review required

The Services use artificial intelligence, including third-party models, and query third-party answer engines. Output may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable, and answers, citations, and metadata returned by AgentGEO reflect what third-party engines produced at the time of the query and may change. You are solely responsible for reviewing, verifying, and editing Output before relying on it or publishing it, for confirming that you have the rights to use it, and for your use of the Output. Do not rely on Output as legal, financial, medical, or other professional advice.

7. Third-party services

The Services integrate with and depend on third-party services, including:

• Stripe for payment processing;
• Connected social accounts and platforms that you authorize FeedForge to publish to; and
• Third-party AI engines and model providers that ReelWand, FeedForge, and AgentGEO use or query.

Your use of these third-party services is governed by their own terms and privacy policies, and you are responsible for complying with them and for maintaining any accounts or authorizations they require. We do not control third-party services and are not responsible for their availability, acts, omissions, changes, or discontinuation. A change to, restriction on, or interruption of a third-party service may affect the Services, and we are not liable for such effects.

8. Fees, billing, subscriptions, and auto-renewal

8.1 Subscriptions and fees

The Services are sold as recurring subscriptions. By subscribing to a paid plan, you agree to pay the fees for that plan as described at the point of purchase. All fees are stated and payable in the currency shown at checkout (typically U.S. dollars) and, unless stated otherwise, are exclusive of taxes, which you are responsible for paying.

8.2 Payment processing via Stripe

Card payments are processed by Stripe, Inc., a third-party payment processor and a PCI-DSS Level 1 service provider. Jincove does not collect or store full card numbers. Your use of card payment is subject to Stripe's terms and privacy policy. You authorize us and Stripe to charge your designated payment method for all fees due.

8.3 Auto-renewal

Unless otherwise stated, subscriptions renew automatically at the end of each billing period (for example, monthly or annually) at the then-current rate, and your payment method will be charged for each renewal, until you cancel. You may cancel a subscription's future renewals as described in our Refund and Cancellation Policy, by contacting us at gan@jincove.com, or, where available, through your account settings.

8.4 Changes to fees

We may change our fees and plans. For existing subscriptions, fee changes will take effect at the start of the next billing period following notice to you. If you do not agree to a fee change, your remedy is to cancel before the change takes effect.

8.5 Refunds and cancellation

Refunds and cancellations are governed by our Refund and Cancellation Policy, which is incorporated into these Terms by reference. Except as required by law or expressly stated in that policy, fees are non-refundable.

9. Intellectual property

The Services, including all software, models, agent orchestration, user interfaces, designs, text, graphics, documentation, and the Jincove name, logo, and brand, and all related intellectual property rights, are and remain the exclusive property of Jincove and its licensors. Except for the limited right to use the Services under these Terms, no rights are granted to you. You may not use our trademarks or branding without our prior written consent.

If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.

10. Confidentiality

Each party may receive non-public information of the other that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms and will protect it using reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiving party, is independently developed, or is lawfully received from a third party. This section does not restrict disclosure required by law, provided the receiving party gives reasonable notice where legally permitted.

11. Disclaimers

THE SERVICES, INCLUDING ALL OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, JINCOVE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUT WILL BE ACCURATE, RELIABLE, COMPLETE, UNIQUE, PROTECTABLE, OR FIT FOR ANY PARTICULAR PURPOSE. THE SERVICES ARE OFFERED IN EARLY ACCESS AND DEPEND ON THIRD-PARTY SERVICES OUTSIDE OUR CONTROL. WE MAINTAIN REASONABLE TECHNICAL AND ORGANIZATIONAL MEASURES BUT DO NOT GUARANTEE ANY SPECIFIC LEVEL OF SECURITY, AVAILABILITY, OR UPTIME.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• IN NO EVENT WILL JINCOVE OR ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

• JINCOVE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO JINCOVE FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. These limitations apply to the maximum extent permitted by law and form an essential basis of the bargain between us.

13. Indemnification

You will defend, indemnify, and hold harmless Jincove and its owners, members, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Customer Content; (b) your use of the Services, including Output you use, publish, or distribute; (c) your violation of these Terms or of any applicable law; (d) your violation of the terms of any connected platform or third-party AI engine; or (e) your violation of any third-party right. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us.

14. Term, termination, and suspension

These Terms apply from your first use of the Services until terminated. You may stop using the Services and cancel your subscription at any time as described in our Refund and Cancellation Policy.

We may suspend or terminate your access to the Services, in whole or in part, with or without notice, if: (a) you breach these Terms or our Acceptable Use requirements; (b) your use poses a security, legal, or operational risk to us, other customers, or third parties; (c) a third-party provider requires it; or (d) required by law. We may also suspend or discontinue the Services (or any part of them) as described in these Terms.

Upon termination, your right to use the Services ends. Sections that by their nature should survive termination — including customer content and output provisions, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive. We may delete your Customer Content following termination; you are responsible for retaining your own copies of Output you wish to keep.

15. Changes to the Services and to these Terms

We may modify, update, add to, or discontinue features or the Services at any time, particularly during early access. We may also update these Terms from time to time. If we make material changes, we will update the "Last updated" date and take reasonable steps to notify you, such as by posting on jincove.com or by email. Changes are effective when posted unless stated otherwise. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Services.

16. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You and Jincove agree that the exclusive venue for any dispute that is not otherwise subject to an agreed alternative process will be the state and federal courts located in Wyoming, and each party consents to the personal jurisdiction of those courts.

17. Miscellaneous

• Entire agreement. These Terms, together with the Refund and Cancellation Policy, the Privacy Policy, and any order or plan terms you accept, constitute the entire agreement between you and Jincove regarding the Services and supersede all prior agreements on that subject.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
• Force majeure. Neither party is liable for any delay or failure to perform (other than payment obligations) due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental action, internet or utility failures, or the acts or omissions of third-party providers.
• Notices. We may provide notices to you by email to the address on your account or by posting on the Services. You may send notices to us at gan@jincove.com or at the mailing address below.
• Relationship. The parties are independent contractors. These Terms do not create any partnership, joint venture, agency, or employment relationship.
